Abstract:

The article discusses the constitutional validity of section 203 in Delaware related to higher threshold of 85 percent to qualify a transaction in bidding. Topics discussed include exemptive threshold making impossible for any transaction to qualify, analysis of the policy implications of the data, and empirical analysis of professor Guhan Subramanian regarding amendment to section 203.
